GENERAL TERMS AND CONDITIONS OF SALE (GTCS)
1. COMPANY IDENTITY
The companySAS VILLAGE BAKERY, a simplified joint-stock company with a capital of [●] euros, registered with the RCS of [●] under number [●], whose registered office is located160 Blaise Pascal Street, 33127 Saint-Jean-d’Illac, France, engages in the business ofmanufacturing and marketing bakery products, including Lebanese bread, lavash, and similar products.

These General Terms and Conditions of Sale (hereinafter "GTCS") govern all sales made by Village Bakery to its professional clients and, where applicable, individuals.
2. SCOPE OF APPLICATION
These GTCS apply to all sales made byVillage Bakery :
toprofessional clients (B2B),
and toindividual consumers (B2C), via the website, by phone, by email, through professional messaging (WhatsApp Business), or by any other accepted ordering method.
The specific provisions for consumers (B2C) are detailed in the dedicated articles below, in accordance with the Consumer Code.
Any order implies full and unconditional acceptance of these GTCS.
3. PRODUCTS
The products offered are perishable food items. The essential characteristics of the products are described on the website or communicated at the time of ordering.
Photographs and visuals are non-contractual.
Village Bakery reserves the right to modify its product offering at any time.
4. ORDERS
4.1 Ordering Process
Orders can be placed:
via the website,
by email,
by phone,
via professional messaging (WhatsApp Business),
or by any other means accepted by Village Bakery.
For professional clients, the order becomes final after written validation (email, signed quote, or electronic confirmation).
4.2 Modification and Cancellation
Any modification or cancellation of an order must be notified in writing.
Given the perishable nature of the products,no cancellation or modification will be accepted after production has started, unless expressly agreed by Village Bakery.
5. PRICES
Prices are expressed in euros (€), excluding taxes (HT), unless otherwise stated.
Delivery, transport, or logistics fees are charged additionally and specified before order validation.
Village Bakery reserves the right to change its prices at any time. Products are billed based on the rates in effect on the day of the order.
6. PAYMENT
6.1 Payment Methods
Payments can be made by:
credit card,
bank transfer,
SEPA direct debit,
or any other means accepted by Village Bakery.
6.2 Payment – Professional Clients (B2B)
Unless otherwise agreed in writing, invoices are payable within30 days end of month.
6.3 Payment – Individual Clients (B2C)
For individual clients, payment is duein full at the time of order.
6.4 Late Payment (B2B)
Any late payment will automatically result in:
the application of late payment penalties calculated at the increased legal rate,
a fixed compensation of€40for recovery costs (Article L.441-10 of the Commercial Code).
Village Bakery reserves the right to suspend ongoing orders.
7. DELIVERY
7.1 Delivery Area
Village Bakery delivers its products inFranceand in thecountries of the European Union.
7.2 Delivery Terms
Deliveries are made exclusively by partner carriers (FedEx, STEF or others) or by any logistics means chosen by Village Bakery.
For individual clients (B2C), sales are madeonly with delivery, no pickup on site is offered.
Delivery times are indicated for informational purposes and do not constitute a firm commitment.
7.3 Transfer of Risks
The transfer of risks occurs at the time of handing over the products to the carrier.
It is the customer's responsibility to check the condition of the goods upon receipt and to make any reservations with the carrier.
8. CLAIMS – RETURNS – RIGHT OF WITHDRAWAL
8.1 Perishable Products
The products sold are perishable food items:
no returns will be accepted,
no exchanges can be demanded.
8.2 Claims
Any claim must be made in writing within a maximum of24 hoursafter receipt of the products, accompanied by supporting documents.
8.3 Right of Withdrawal (B2C)
In accordance with Article L.221-28 of the Consumer Code,the right of withdrawal does not apply to perishable food products..
9. LIABILITY
Village Bakery cannot be held responsible for indirect or immaterial damages.
Village Bakery's liability is, in any case, limited to the amount of the relevant order.
10. FORCE MAJEURE
Village Bakery cannot be held responsible for the non-fulfillment of its obligations in the event of force majeure, as defined by French case law.
11. PERSONAL DATA
The personal data collected is processed in accordance with current regulations (GDPR).
The customer has the right to access, rectify, and delete their data.
12. INTELLECTUAL PROPERTY
All elements of the website (texts, images, logos) are the exclusive property of Village Bakery and cannot be used without prior authorization.
13. APPLICABLE LAW – DISPUTES
These General Terms and Conditions are subject toFrench law..
In the event of a dispute, the parties will strive to find an amicable solution. Failing that, the competent courts will be those within the jurisdiction of the registered office of Village Bakery.
14. ACCEPTANCE OF THE GENERAL TERMS AND CONDITIONS
The customer acknowledges having read these General Terms and Conditions and accepts them without reservation when placing an order.
